1. Provider and acceptance
These Terms of Service ("Terms") are entered into between TimePax, with registered office at Sos. Mihai Bravu 123-135 Bl. D11 Sc. B Et. 1 Ap. 4 Sector 2, 021314 Bucuresti, Romania ("Provider", "we", "us"), and the legal entity or natural person registering for or using the Service ("Customer", "you").
By creating an account, subscribing, or using the platform, you confirm that you have read, understood, and accepted these Terms, our Privacy Policy, and, where applicable, the Data Processing Agreement. If you do not agree, you must not use the Service.
These Terms are drafted in compliance with Romanian Law no. 365/2002 on electronic commerce, Law no. 193/2000 on abusive clauses in contracts, and applicable European Union consumer and business regulations.
2. Description of the Service
TimePax provides a cloud-based workforce attendance, timesheet, and branch management platform accessible via web dashboard and mobile applications. Features depend on the subscription plan selected.
We may improve, modify, or discontinue features with reasonable notice when such changes materially affect paid functionality. Critical security updates may be applied without prior notice.
3. Account registration and eligibility
Customers must provide accurate company and contact information during registration. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
The Service is intended for business use. By registering, you represent that you have authority to bind the organization you represent and that employee data is processed lawfully.
4. Subscription, billing, and trial
Paid subscriptions renew automatically according to the selected billing cycle unless cancelled before the renewal date. Prices are displayed before purchase and may exclude applicable VAT unless stated otherwise.
Free trial periods, if offered, convert to paid subscriptions unless cancelled before the trial ends. Failure to pay may result in suspension or termination of access.
5. Acceptable use
- Do not use the Service for unlawful, fraudulent, or abusive purposes.
- Do not attempt to bypass security, location verification, or attendance controls.
- Do not upload malicious code or interfere with platform availability.
- Do not resell or sublicense the Service without written consent.
- Ensure employee notifications and data collection comply with labour and privacy laws.
6. Intellectual property
The platform, software, branding, documentation, and all related intellectual property remain the property of TimePax or its licensors. Customers receive a limited, non-exclusive, non-transferable licence to use the Service during an active subscription.
Customer data uploaded to the platform remains the property of the Customer. You grant us a licence to host and process such data solely to provide the Service.
7. Availability and support
We target high availability but do not guarantee uninterrupted access. Maintenance windows and force majeure events may cause temporary downtime. Support channels and response times depend on your plan.
8. Limitation of liability
To the maximum extent permitted by Romanian law, TimePax shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, except where liability cannot be excluded by law.
Our aggregate liability arising from these Terms shall not exceed the fees paid by the Customer for the Service in the twelve (12) months preceding the event giving rise to the claim, except in cases of intent or gross negligence.
9. Termination
Either party may terminate according to the subscription terms. We may suspend or terminate access immediately for material breach, non-payment, or unlawful use. Upon termination, access ceases and data may be deleted after the retention period described in the Privacy Policy, unless longer retention is required by law.
10. Governing law and disputes
These Terms are governed by the laws of Romania. Any dispute shall first be addressed amicably. If unresolved within thirty (30) days, disputes shall be submitted to the competent courts of Bucharest, Romania, without prejudice to mandatory consumer protection rules applicable in your country of residence.
